Deploying Microsoft Copilot Without Governance Is a Risk, Not a Strategy

Why data classification must come before AI — and how to sequence the work

Microsoft Copilot for M365 summarises long email threads, drafts documents from prompts, generates meeting notes, and synthesises information from across the M365 environment. For organisations with well-governed data, it delivers productivity gains with manageable risk.

For organisations without well-governed data — and most mid-market M365 environments fall into that category — it is a governance accelerant of a different kind. It makes visible, quickly and for many people at once, the oversharing and permissions sprawl that has been accumulating quietly for years.

Understanding why requires understanding what Copilot actually does.

How Copilot Actually Works

Microsoft Copilot for M365 does not have access to data beyond what the signed-in user already has permission to access. It respects the existing Microsoft 365 permissions model: if a document is in a SharePoint site that the user can access, Copilot can surface it. If the user cannot access it, Copilot cannot either.

This is an important architectural point, and it is frequently misunderstood. Copilot does not create new access pathways. It does not bypass sensitivity labels or DLP policies. It operates within the existing permission boundaries.

The problem is that for most organisations, those existing permission boundaries are far wider than they should be. When Copilot then operates within those boundaries — actively searching, synthesising, and surfacing content — it makes what was theoretically accessible into what is practically visible.

The Oversharing Problem

Consider a typical mid-market M365 environment after three to five years of operation. A SharePoint site was created for an HR project; it was set to company-wide access during setup and never changed. A Teams channel has dozens of files attached, several of which contain salary bands and performance review notes, shared by a project lead who has since left. An executive's OneDrive contains a confidential acquisition memorandum that was shared with "anyone in the organisation" because they needed quick feedback from a colleague.

None of these represent a breach of the permission model. All of these represent data sitting where it should not be, accessible to people who have no legitimate need for it. In a traditional M365 environment, most users would never find these files — there is no easy way to discover SharePoint content you theoretically have access to across the entire tenant. The exposure exists but remains largely inert.

Copilot changes this. A user asking Copilot to "summarise what we have on the recent acquisition" or "what were the outcomes of the Q4 performance reviews" may receive responses that draw on content they were never intended to see. The oversharing that existed silently is now actively surfaced.

Getting to a position where Copilot can be deployed responsibly is not a Copilot configuration task. It is a data governance programme that happens to unlock Copilot as an output. The sequence:

Step 1: Deploy Microsoft Purview sensitivity labels. Define a label taxonomy — Public, Internal, Confidential, Highly Confidential as a minimum — and begin applying labels to documents. Start with high-value repositories: HR folders, finance sites, executive communications. Labels encrypt documents at rest and travel with the file, providing a persistent classification that DLP policies and Copilot itself can respect.

Step 2: Implement Data Loss Prevention policies. Once labels are applied, DLP policies can prevent labelled documents from being shared externally without justification, copied to unmanaged devices, or accessed in ways that violate policy. This is the enforcement mechanism that makes labelling meaningful.

Step 3: Conduct an access review. Who has access to what? This is not a one-time exercise — it is the first iteration of an ongoing programme. Entra ID access reviews, SharePoint permission reports, and external sharing audits together give you a picture of your current access state. The remediation is unglamorous: removing access that should not exist, consolidating fragmented site permissions, expiring guest accounts.

Step 4: Run an oversharing assessment. Microsoft Purview's Data Security Posture Management capabilities provide a view of where overshared content exists in your tenant. Combine this with a SharePoint permission analysis to identify the highest-risk repositories and address them before Copilot is introduced.

Step 5: Pilot with governance controls in place. Start Copilot with a limited group of users in areas of the business with mature governance. Establish a process for users to report unexpected content surfacing — this is valuable signal for your ongoing remediation programme. Expand the rollout as governance matures.

The EU AI Act Angle

The EU AI Act, now entering its enforcement phases, classifies Microsoft Copilot for M365 as a general-purpose AI model deployment. For most organisations in scope, this does not trigger the high-risk classification requirements — but it does impose transparency obligations. Employees must be informed that AI tools are being used in their workflows. Organisations must be able to explain what data the AI can access and how outputs are generated.

This is not a theoretical compliance concern. It has practical implications for HR use cases — if Copilot is used to draft performance reviews or summarise candidate information, that use case may require specific documentation and, in some jurisdictions, human oversight requirements. Build your AI governance framework before the use cases expand beyond the initial pilot.

Copilot as a Governance Accelerant

The framing matters here. Organisations that delay Copilot because their governance is not ready are making a reasonable decision. But the more productive framing is this: Copilot deployment is the business case that finally justifies the governance work that should have been done anyway.

Every organisation that has M365 data sitting in overshared SharePoint sites, with undocumented permissions and no sensitivity labels, has a governance problem regardless of whether they deploy Copilot. Copilot just makes it urgent and visible in a way that is hard to dismiss.

Treat the Copilot deployment as a forcing function. Use the budget and executive attention it attracts to fund the underlying governance work — sensitivity labelling, access reviews, oversharing remediation. Then deploy Copilot into the environment that results, rather than into the environment that exists.

The difference in outcomes is significant. Organisations that get this sequence right report Copilot delivering its intended productivity benefits with minimal unexpected content exposure. Organisations that skip the sequence report user complaints within weeks of rollout — and a much more expensive remediation on the back end.
